Our Registrars keep a record of your name, address and the number of shares you own and can arrange to issue a duplicate certificate if necessary. If you have lost a certificate please report this to the Registrars, Link Group, immediately on + 44 (0)371 664 0300 so they can put a ‘stop’ on that certificate. Before a replacement certificate can be issued, you will be sent an indemnity form to complete should a dispute arise over ownership at a later stage.

When you change address, it is important that you contact and notify our registrars, by submitting a change of address form obtainable from the registrars as soon as possible to ensure you receive all shareholder communications.

What is the shareholder structure of Keywords?

Keywords Studios Plc is currently listed on the Alternative Investment Market. There are no intentions to list on any other Exchanges. The Company is subject to the UK City Code on Takeovers and Mergers.

Keywords Studios Plc confirms that at close of business on 30 September its capital consisted 80,511,941 of ordinary shares of 1p each. The Company does not hold any shares in treasury.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Financial Conduct Authority’s DTR.

There are no restrictions on the transfer of Keywords Studios Plc shares.

As of 30 September 2024, of the ordinary share capital, 0.06% of the shares were not in public hands.

SIGNIFICANT SHAREHOLDERS

As per Rule 8.3 of the Takeover Code as at 30 September 2024, the Company has received disclosures of interest from, or is aware of, the following holders of 1% or more of the Company’s issued share capital. 

These shareholdings may differ from those shown on external electronic platforms, which are based solely on shareholder TR-1 disclosures, because (i) fund managers may hold shares in multiple separate funds where part holdings are considered below disclosure requirement levels (ii) fund managers may not hold all of the voting rights of the shares (iii) some fund managers have exemption status under not to disclose TR-1 holdings under 5% (rather than 3%) and (iv) external electronic platforms may not be up-to-date with new shareholder positions.
